(Including BBMS Integration)

Please read these Terms and Conditions carefully before using this Application. By registering, accessing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please uninstall and discontinue use of the Application immediately.

1. Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:

"App" / "Application"The blood donation and blood request mobile/web application operated by us, including all features, modules, and integrations.
"We" / "Us" / "Our" / "Company"Redhalo India Private Limited, its successors, and permitted assigns.
"User" / "You"Any individual who downloads, registers on, or accesses the Application, whether as a Donor, Requester, or visitor.
"Donor" “Donors”A registered User who volunteers to donate blood, either to a nearby blood bank, hospitals or at a blood donation camp organised or listed on the App.
"Requester"A registered User who raises a blood request for themselves or on behalf of a family member or relative etc., through the App.
"BBMS"Blood Bank Management System — the connected platform through which registered blood banks receive, process, and fulfil blood requests.
"Blood Bank"A licensed blood bank registered with the Central Drugs Standard Control Organisation (CDSCO) under the Drugs and Cosmetics Act, 1940, that is empanelled on the App.
"Blood Camp"A voluntary blood donation camp organised or listed on the App by registered NGOs, hospitals, blood banks, or community organisations.
"Requisition Slip"A hospital-issued document specifying the type, quantity, urgency of blood required for a patient and other relevant details, uploaded by a Requester on the App.
"Health Details"Basic health information provided by a Donor including but not limited to blood group, hemoglobin levels, disease history, medication history, and eligibility declarations.
"Request Alert"An automated notification triggered by the App to nearby blood banks (via BBMS) and/or nearby registered Donors when a blood request is raised.
"Content"All text, images, data, information, materials, and other content on the App.
"Third Party"Any person, entity, blood bank, hospital, camp organiser, or service not operated or controlled by Us.

2. Eligibility and Registration

2.1 General Eligibility

To use the Application, you must:

Be at least 18 years of age. Persons below 18 years may not register or use the App independently.

Be a resident of India or a person lawfully present in India.

Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.

Not have been previously suspended or removed from the App for a violation of these Terms.

2.2 Donor-Specific Eligibility

In addition to the general eligibility criteria above, to register as a Donor, you must:

Be between 18 and 65 years of age (upper age limit subject to applicable CDSCO/National Blood Policy guidelines).

Weigh a minimum of 45 kg.

Not be suffering from any active communicable disease, including but not limited to HIV/AIDS, Hepatitis B, Hepatitis C, syphilis, or malaria or any other diseases as prescribed the Government of India (GoI) from time to time.

Not have donated blood in the preceding 56 days (whole blood) or as specified by applicable health guidelines.

Truthfully declare all health details requested, including current medications, chronic conditions, recent surgeries, and travel history.

Confirm that all information provided in the health declaration form is accurate to the best of your knowledge.

DISCLAIMER

We do not verify the accuracy of health details provided by Donors. The responsibility for truthful and complete disclosure rests entirely with the Donor. We accept no liability for any harm resulting from inaccurate or incomplete Donor health declarations.

2.3 Requester Eligibility

To raise a blood request, you must:

Be the patient, a family member, a relative, a legally authorised representative, or a caregiver of the patient requiring blood.

Upload a valid Requisition Slip issued by a licensed hospital or treating physician, OR fill the requisition form accurately within the App.

Provide accurate patient details including name, blood group required, quantity required, hospital name, and urgency level.

2.4 Account Registration

You must provide accurate, current, and complete information during registration. You agree to update this information as necessary to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials (username and password).

You are responsible for all activities that occur under your account, whether or not authorised by you.

You must notify Us immediately at info@redhalolife.com if you become aware of any unauthorised use of your account.

We reserve the right to refuse registration or suspend any account at Our sole discretion.

3. Nature of Services and Limitations

3.1 Platform Role

The App operates solely as a technology platform that:

Enables Donors to register their voluntary intent to donate blood and discover nearby blood banks and donation camps.

Enables Requesters to raise blood requests and transmit those requests to nearby blood banks via BBMS and to nearby registered Donors.

Provides information about blood donation camps in proximity to the User.

Facilitates communication between Donors, Requesters, and blood banks.

CRITICAL NOTICE

We are NOT a blood bank. We do NOT procure, store, process, test, transport, or supply blood or blood products. All blood-related activities are conducted exclusively by licensed blood banks empanelled on the App. We are a technology intermediary only.

3.2 No Medical Advice

Nothing on the App constitutes medical advice, diagnosis, or treatment. Information provided on donor eligibility, blood types, or health guidelines is for general informational purposes only. Users should always consult a qualified medical professional for personal medical decisions.

3.3 No Guarantee of Blood Availability

We do not guarantee the availability of blood of any type or quantity. The App transmits requests to blood banks and Donors but cannot guarantee fulfillment of any blood request. Users should contact multiple blood banks and hospitals simultaneously and not rely solely on the App in emergencies.

3.4 No Commercialisation of Blood

Blood donation on this platform is strictly voluntary and non-commercial. No monetary compensation shall be offered, solicited, or accepted by any Donor through the App for donating blood, in compliance with the Drugs and Cosmetics Act, 1940, the National Blood Policy, and applicable CDSCO regulations. Any attempt to commercialise blood through the App constitutes a violation of these Terms and applicable law, and will result in immediate account termination and reporting to relevant authorities.

4. Donor Obligations and Conduct

4.1 Accurate Health Disclosure

Donors expressly agree to:

Truthfully and completely fill out the health declaration form before each donation, covering all fields including current medications, recent illnesses, surgeries, tattoos, piercings, travel to malaria-endemic regions, and any behaviour that may increase the risk of transmissible disease.

Notify Us and the blood bank immediately if their health status changes after registering but before a scheduled donation.

Not donate blood if they know or have reasonable grounds to believe they are not eligible under applicable health guidelines.

4.2 Voluntary Nature

Donors acknowledge that:

Donation is entirely voluntary. No User shall be coerced, pressured, or incentivised monetarily to donate.

A Donor may withdraw their consent to donate at any time before the actual blood draw, without penalty or adverse consequence within the App.

Agreeing to a request on the App does not create a legally enforceable obligation to physically donate.

4.3 Camp and Blood Bank Attendance

Donors who register for a camp or respond to a request agree to attend at the indicated time and place, or to cancel promptly if unable to attend, so that the blood bank or camp organiser can make alternative arrangements.

Repeated no-shows without cancellation may result in suspension of Donor privileges on the App.

4.4 Post-Donation Conduct

Donors acknowledge that they donate at their own risk and should follow all post-donation care instructions provided by the blood bank or camp medical staff.

We are not responsible for any adverse reactions arising from a blood donation event.

5. Requester Obligations and Conduct

5.1 Genuine Requests Only

Requesters must raise blood requests only for genuine medical needs. Raising fictitious, speculative, or malicious blood requests is strictly prohibited and may constitute an offence under applicable Indian law.

You must have a legitimate connection to the patient — as the patient, a family member, relative, caregiver, or authorised representative.

5.2 Requisition Slip and Information Accuracy

If uploading a Requisition Slip, the document must be genuine, issued by a licensed hospital or clinic, and must not be altered or fabricated. Uploading a false or forged document constitutes a criminal offence.

Information extracted from the Requisition Slip by Our OCR system will be presented to you for verification. You are responsible for confirming the accuracy of the extracted information before submission.

If filling in the requisition form manually, all information must be accurate, including the patient name, blood group, quantity, hospital name, ward/bed details, treating physician name, and urgency level.

5.3 Request Cancellation

Requesters must cancel a blood request promptly if it is no longer needed (e.g., blood has been arranged, patient condition has changed, patient has been discharged).

Failure to cancel fulfilled or no-longer-needed requests creates unnecessary burden on Donors and blood banks. Repeated failure to cancel may result in account suspension.

5.4 No Payment to Donors

Requesters are strictly prohibited from offering, promising, or making any direct or indirect payment to Donors in exchange for blood. All arrangements relating to blood processing charges must be made directly with the licensed blood bank, in accordance with charges prescribed by the State Blood Transfusion Council.

6. BBMS Integration and Blood Bank Interactions

The App integrates with Our BBMS (Blood Bank Management System) to route blood requests to empanelled blood banks. Users acknowledge and agree that:

Blood banks on the BBMS are independent third-party entities. We do not control, supervise, or guarantee the conduct, response time, blood quality, or service levels of any blood bank.

A blood request transmitted to a blood bank via BBMS does not guarantee that the blood bank will fulfil the request.

Blood banks are responsible for verifying Donor eligibility, testing donated blood, and ensuring compliance with the Drugs and Cosmetics Act, 1940, and CDSCO Guidelines for Blood Banks.

We are not a party to any agreement between the Requester and the blood bank, or between the Donor and the blood bank.

Any dispute regarding blood quality, processing charges, or service delivery must be addressed directly with the blood bank and the relevant State Blood Transfusion Council.

6.1 Donor Alert Notifications

When a blood request is raised, the App may transmit alerts to nearby registered Donors. By registering as a Donor, you consent to receiving such alerts. You may opt out of alerts at any time through your account settings, subject to the understanding that doing so will limit your ability to respond to requests.

7. Prohibited Conduct

The following conduct is strictly prohibited on the App. Violation may result in immediate account termination and reporting to law enforcement:

Providing false, inaccurate, or misleading health information as a Donor.

Uploading forged, altered, or fabricated Requisition Slips.

Raising false or fictitious blood requests.

Offering or accepting monetary payment for blood donation through or in connection with the App.

Using the App to harass, threaten, or abuse any other User, Donor, Requester, or blood bank staff.

Impersonating any person, blood bank, hospital, or official authority.

Attempting to gain unauthorised access to any part of the App, BBMS, or other connected systems.

Scraping, crawling, or harvesting data from the App by automated means.

Using the App for any purpose that violates applicable Indian laws, including but not limited to the Drugs and Cosmetics Act, 1940, the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and IPC provisions.

Posting or transmitting any content that is unlawful, defamatory, obscene, or harmful.

Using the App to commercially exploit blood or blood products in any manner.

Manipulating the request or Donor notification system to unfairly prioritise certain requests.

8. Intellectual Property Rights

All content, features, functionality, trademarks, service marks, logos, software, code, design, and materials on the App are owned by or licensed to Us and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for its intended purposes as described in these Terms. This license does not include the right to:

Copy, reproduce, modify, or create derivative works of any App content.

Distribute, publicly display, or commercially exploit any App content.

Reverse engineer, decompile, or disassemble any software underlying the App.

User-generated content (such as health declarations and request information) remains the property of the User but grants Us a non-exclusive, royalty-free license to use it solely for operating the App and delivering the Services.

9. Disclaimer of Warranties

IMPORTANT

The App is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, express or implied.

To the maximum extent permitted by applicable law, We expressly disclaim all warranties, including:

Warranties of merchantability, fitness for a particular purpose, and non-infringement.

Any warranty that the App will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Any warranty regarding the accuracy, reliability, or completeness of any content on the App.

Any warranty that blood requests will be fulfilled, that Donors will respond, or that blood banks will have the required blood in stock.

Any warranty regarding the health, eligibility, or suitability of any Donor.

Any warranty regarding the accuracy of information extracted from Requisition Slips by Our OCR system.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

10.1 No Liability for Medical Outcomes

We shall not be liable for any medical outcome, adverse health event, injury, illness, or death arising from: (a) blood donated or received through the App; (b) reliance on information provided on the App; (c) the conduct of blood banks, camp organisers, or Donors.

10.2 No Liability for Third-Party Conduct

We are not responsible for the actions, omissions, or negligence of blood banks, camp organisers, hospitals, Donors, or Requesters. Any disputes arising from such interactions must be resolved between the relevant parties.

10.3 Aggregate Liability Cap

In any event, Our aggregate liability to any User for any claim arising from or related to these Terms or the App shall not exceed the amount (if any) paid by that User to Us in the 12 months preceding the claim. As the core Services are provided free of charge, Our aggregate liability is Rs. 0 (zero rupees) in most cases.

10.4 Exclusion of Consequential Damages

We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of life, personal injury, loss of data, loss of profits, or loss of goodwill, even if advised of the possibility of such damages.

NOTE

Nothing in this Section limits liability for death or personal injury caused by Our proven gross negligence or wilful misconduct, to the extent such limitation is prohibited by applicable Indian law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Us, Our officers, directors, employees, agents, and affiliates from and against any claims, demands, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your use of the App or any Services.

Your violation of these Terms.

Your violation of any applicable law or regulation.

Any false or inaccurate information provided by you (including health declarations and requisition information).

Any claim by a third party arising from your conduct as a Donor or Requester.

Any unauthorised use of your account.

12. Health, Safety, and Medical Responsibility

12.1 Donor Health Risk

Blood donation is a medical procedure. While it is generally safe, there are associated risks. Donors accept sole responsibility for assessing their own fitness to donate and should consult a physician if uncertain. The physical examination and eligibility screening at the blood bank or camp is the responsibility of the qualified medical staff at that facility, not Ours.

12.2 Blood Compatibility

Blood group information entered by Users is not verified by Us. We are not responsible for errors in blood group data entered by Requesters or Donors. Cross-matching and compatibility testing is the exclusive responsibility of the blood bank.

12.3 Emergency Situations

The App is not an emergency service. In a life-threatening medical emergency, Users should call the national emergency number (112), contact emergency hospital services, or go to the nearest hospital. Do not rely solely on the App in a medical emergency.

13. Blood Donation Camps

The App may list blood donation camps organised by third-party entities including NGOs, hospitals, corporate organisations, and community groups. Users acknowledge that:

We do not organise camps and are not responsible for camp safety, medical procedures, or post-donation care at third-party camps.

Camp listings are provided in good faith based on information submitted by camp organisers but We do not guarantee the accuracy of camp details (date, time, location, capacity).

Users attend blood camps at their own risk and should verify camp details directly with the organiser before attending.

Camp organisers are responsible for obtaining all necessary permissions, licenses, and medical supervision required under applicable law.

14. Account Suspension and Termination

14.1 By Us

We reserve the right to suspend, restrict, or permanently terminate your account, with or without prior notice, if:

You violate any provision of these Terms.

We believe your account is being used fraudulently or for illegal purposes.

You provide false health information or upload forged documents.

Your continued use poses a risk to the health or safety of other Users or the public.

We are required to do so by applicable law or a competent court order.

14.2 By You

You may delete your account at any time through the account settings. Deletion will remove your personal profile from active directories. Certain records may be retained as required by applicable law and Our data retention policy set out in the Privacy Policy.

14.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Sections 8 (Intellectual Property), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 17 (Governing Law) shall survive termination.

15. Changes to These Terms

We reserve the right to amend or update these Terms at any time. Changes will be effective upon posting the revised Terms on the App, and we will notify Users via in-app notification or email. Your continued use of the App after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the App.

16. Grievance Redressal

In accordance with the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, We have appointed a Grievance Officer. Users may contact the Grievance Officer for any complaints or concerns regarding the App or these Terms:

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

17.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended, with a sole arbitrator appointed by mutual agreement.

17.3 Jurisdiction

Subject to the arbitration clause above, the courts of Bangalore, India shall have exclusive jurisdiction over any matters arising from these Terms.

17.4 Consumer Disputes

Nothing in this Section affects the rights of Users to approach the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, where applicable.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies posted on the App, constitute the entire agreement between you and Us regarding the App and supersede all prior agreements or understandings.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Our prior written consent. We may assign Our rights and obligations under these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance of Our obligations under these Terms arising from circumstances beyond Our reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, network failures, or power outages.

18.6 Language

These Terms are written in the English language. In the event of any conflict between an English version and a translated version, the English version shall prevail.

By using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
